Terms of Use

These Terms of Use (“Terms”) govern access to and use of Telehealth EMR, operated by WTT Solutions.

By accessing or using the platform, users agree to these Terms. If a user does not agree, the user should not access or use the platform.

Use of the Platform

The platform is designed to support telehealth, patient management, scheduling, intake, documentation, billing, lab workflows, prescriptions, notifications, reporting, and related healthcare operations.

Users may access the platform only for lawful purposes and only according to their assigned role and permissions.

No Emergency Use

The platform is not intended for emergencies.

Patients experiencing a medical emergency should call 911 or go to the nearest emergency department.

Medical Services

WTT Solutions provides software technology. Unless separately stated in writing, we do not provide medical diagnosis, treatment, prescriptions, clinical advice, or emergency services.

Medical services are provided by licensed healthcare professionals, clinics, or other healthcare organizations using the platform.

Providers are responsible for clinical decisions, documentation, orders, prescriptions, follow-up, patient communications, and compliance with applicable professional standards and laws.

User Accounts

Users must provide accurate information, maintain account security, and promptly notify us of suspected unauthorized access or account misuse.

Users are responsible for activity under their accounts. Users may not share login credentials or allow unauthorized users to access the platform.

Patient Responsibilities

Patients agree to:

  • Provide accurate and complete information.
  • Keep contact, insurance, and health information up to date.
  • Attend scheduled visits or follow cancellation policies.
  • Follow provider instructions.
  • Understand that telehealth may not be appropriate for every condition.
  • Seek emergency care when needed.

Provider and Clinic Responsibilities

Providers, clinics, administrators, and staff are responsible for:

  • Verifying patient identity.
  • Maintaining appropriate licenses, credentials, and authority to provide care.
  • Using the platform only within the scope of their role.
  • Protecting PHI and patient information.
  • Reviewing, signing, and maintaining clinical documentation.
  • Reviewing lab results, prescriptions, messages, and urgent findings.
  • Complying with HIPAA, state medical laws, prescribing rules, telehealth rules, record retention laws, and other applicable requirements.

Prohibited Use

Users may not:

  • Access information they are not authorized to view.
  • Share login credentials.
  • Misrepresent identity, credentials, affiliation, or authority.
  • Upload false, harmful, unlawful, infringing, abusive, or malicious content.
  • Attempt to bypass, disable, or interfere with security controls.
  • Reverse engineer, copy, scrape, or disrupt the platform.
  • Introduce viruses, malware, or harmful code.
  • Use the platform for illegal, fraudulent, abusive, or unauthorized purposes.

Third-Party Services

The platform may connect to third-party services, including laboratories, pharmacies, payment processors, email/SMS vendors, insurance systems, clearinghouses, AI tools, analytics providers, and hosting services.

We are not responsible for third-party systems outside our control. Use of third-party services may be subject to separate terms, policies, fees, and availability.

Payments and Billing

If payments are enabled, users agree to pay applicable fees, charges, or amounts owed for services. Payment processing may be handled by third-party payment processors.

Refunds, cancellations, insurance billing, self-pay pricing, and payment policies may vary by clinic, provider, service, or applicable agreement.

AI Features

If AI-assisted features are enabled, AI-generated content is provided for assistance only and may be incomplete, inaccurate, or inappropriate for a specific clinical situation.

Providers and authorized clinical users must review, edit, and approve AI-assisted content before using it for clinical documentation, decision-making, patient communication, or care delivery.

AI features are not a substitute for professional medical judgment.

Intellectual Property

The platform, software, designs, workflows, content, documentation, trademarks, and related materials are owned by WTT Solutions or its licensors.

Users may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the platform except as expressly permitted in writing.

Privacy

Use of the platform is also governed by our Privacy Policy and, where applicable, HIPAA-related agreements, Business Associate Agreements, provider notices, and clinic-specific policies.

Suspension or Termination

We may suspend or terminate access if a user violates these Terms, creates security risk, misuses the platform, violates applicable law, or if access must be restricted for operational, legal, compliance, or safety reasons.

Disclaimers

The platform is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, and suitability for any specific clinical, legal, operational, or business requirement.

Limitation of Liability

To the maximum extent permitted by law, WTT Solutions is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, business interruption, or loss of goodwill arising from or related to use of the platform.

Indemnification

To the extent permitted by law, users and organizations using the platform agree to indemnify and hold harmless WTT Solutions from claims, damages, liabilities, costs, and expenses arising from misuse of the platform, violation of these Terms, violation of law, or unauthorized use of information.

Governing Law

These Terms are governed by the laws of Delaware, unless another jurisdiction is required by applicable law or a separate written agreement.

Changes to These Terms

We may update these Terms from time to time. Updated versions will be posted in the app, on our website, or otherwise made available. Continued use of the platform after updates means users accept the revised Terms.
